BUYER AGREEMENT

1. INTRODUCTION

These Buyer terms are supplemental to the overall LEAJOE.COM terms and conditions (https://www.leajoe.com/terms-and-conditions/) and provide the terms and conditions under which LEA JOE provides its service that will allow you to request furniture sourcing services through the LEAJOE.COM Product Sourcing Platform (the “Platform”) and the services, features, Content (defined below) offered by Lea Joe Khoury. ("Lea Joe", “Leajoe.com "we", "us" or "our") (together with the Platform, the "Services"). If you do not read, understand, and agree to all of the terms and conditions of this Buyer Agreement, you may not use the Platform.

2. BECOMING A BUYER

OPENING AN ACCOUNT: You must open a BUYER account (an “Account”) with LEAJOE.COM through either accepting an invitation directly from LEA JOE, or completing LEA JOE’s online membership request process at https://www.leajoe.com/shop. LEAJOE.COM is a platform where only verified private clients or employees, officers, consultants, agents of, a professional property development business, an estate agents business, a landlord or building contractor can hire LEA JOE to source their products directly from furniture, lighting and accessories suppliers. Additional information may be requested from private clients as part of the verification process. Company registration details will be verified for trade customers such as property development businesses, estate agents, landlords and building contractors by our team prior to opening your account and additional information may be requested from you as part of the verification process. By requesting and opening an Account with LEA JOE, you warrant that 1) You are legally capable of entering into binding contracts; 2) You are at least 18 years old; and 3) All the information provided during the registration process is accurate to the best of your knowledge and belief.
BUYER PROFILE: If you open an Account with LEA JOE, a profile will be created for you with key information about Yourself and your Business. You are solely and exclusively responsible for ensuring this profile is accurately representing your Business at all times. This information will be used by LEA JOE when supplying you with the furniture sourcing services.
CONTACT INFORMATION: You must provide LEA JOE with accurate and complete contact information when you open an Account. You must immediately notify LEA JOE if any of this information changes. To see how your personal information is collected and used please refer to our Privacy Policy.
ACCOUNT SECURITY: You will need to select a password if you open an Account. You will be solely and exclusively responsible for keeping your password confidential and for all use of your password and Account, including, without limitation, any use by any unauthorized third party. You must notify LEA JOE immediately if you believe your password has been or may be obtained or used by any unauthorized person or entity. In addition, you must notify LEA JOE immediately if you become aware of any other breach or attempted breach of the security of your Account or the Network or Website. If you would like additional people from your company or circle to have access to the LEA JOE private store send a request to hello@leajoe.com for their own account to be set up under their email address.
USE OF ACCOUNT: Your account is to be used solely for the purpose of browsing digital catalogues, communicating and requesting quotes and orders from LEA JOE with an intent to purchase Products with LEA JOE offline. If we discover your account being used for any other purpose we reserve the right to temporarily or permanently terminate your membership on the Platform.
ACCOUNT TERMINATION: You are able to terminate your membership and account with LEA JOE at any time by contacting hello@leajoe.com.

3. SITE CONTENT AND USAGE

DEFINITIONS: The term “Product Content” includes all Content relating to Products presented for sale on the Platform and all other Content added, created, uploaded, submitted, distributed, or posted to the Platform by users is considered "User Content". The term "Content" includes, without limitation, videos, audio clips, written posts and comments, information, data, text, photographs, software, scripts, graphics, trademarks, logos and interactive features generated, provided, or otherwise made accessible on or through the Services, in addition to Product Content and User Content. All Content whether publicly posted or privately transmitted, is the sole responsibility of the person or Supplier from which such Content originated.
PRODUCT CATALOGUES: LEA JOE is a Platform that presents other brands’ and suppliers’ products (“Catalogue”) available to be requested for purchase through LEA JOE. The details of those products (“Product Content”) is obtained from the original suppliers’ catalogues and the SUPPLIERS are solely responsible for the accuracy of their Catalogues and Product Content including, but not limited to, the Product availability, descriptions, images, pricing, options, and any other Content displayed. LEA JOE cannot and will not be held responsible for any inaccuracies within a SUPPLIER Catalogue or Product Content. You acknowledge that all Content accessed on the Platform, including Product Content, is at Your own risk and You will be solely responsible for any damage or loss to You or any other party resulting from the use of this Content.
USE LICENSE: You are granted a worldwide, non-exclusive, non-sub-licensable and non-transferable license to use (i.e. to download and display locally) Content solely for purposes related to the purchase of Products through the Platform. Reproduction, modification, distribution or storage of any Content for any other use is expressly prohibited without prior written permission from Us and the relevant owner of the Content. You shall not sell, license, rent, or otherwise use or exploit any Content in any way that violates any third party right.
NOTICES AND RESTRICTIONS: The Services may contain Content specifically provided by us, our partners or our users and such Content is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws ("Intellectual Property"). You shall abide by and maintain all copyright notices, information, and restrictions contained in any Content accessed through the Services. You or any user affiliated with You, are strictly prohibited from using any Intellectual, including but not limited to any Content specifically provided by us, our partners or our users as well as any aspect, feature, design element, user interface or source code of the Services, outside of the Services or in any way not expressly authorized by the applicable rights holder to such Intellectual Property.

4. COMMUNICATION AND SALES

REQUESTING AN ORDER: You may use the Platform to request hiring LEA JOE to place orders on your behalf directly with the furniture suppliers by adding the products you would like to purchase to your cart and checking out without payment. LEA JOE will respond to your request by email with the full price with a quotation including the final price of the Product along with any additional charges, discounts, transportation fees, applicable taxes and the supplier’s terms and conditions. To place your order you must follow the instructions presented on the quotation emailed to you.
PLACING AN ORDER: Once you have agreed to place your order, LEA JOE will email you a proforma invoice to be paid in advance in full before proceeding to place the order on your behalf with the Suppliers. In most instances the SUPPLIER will not commence production or shipment of your Order until Payment is received.
ORDER FULFILMENT: By placing your order with LEA JOE, you are hiring LEA JOE to place the order for you directly with the suppliers. Your order will be fulfilled by the SUPPLIER you are purchasing from, not LEA JOE and they are responsible for all delivery and logistics. We cannot give any undertaking or warrant (nor will we provide any adjudication for) Products that are lost or damaged in transit.
SALES CONTRACT: When you place an order with LEA JOE, you are hiring LEA JOE to purchase the orders on your behalf directly with the suppliers. LEA JOE will provide you all relevant information relating to the contract of sale with the supplier including without limitation the terms of business and delivery information, returns and cancellations policies, and information about how (if at all) they will use any of your personal data. They are not entitled to use your personal information for any other purposes except for delivery of the purchased Products. You acknowledge that by hiring LEA JOE to place the orders on your behalf that LEA JOE will not be liable for any loss or damage suffered by the SUPPLIER or any person, firm or company you have come into contact with through the product delivery. You will indemnify us against all costs, claims, damages and losses that may arise from the products delivered directly by the SUPPLIERS.
LEAJOE BUYER SUPPORT: LEA JOE provides all customer service and is your first point of contact for cancellation, returns of any Orders and support in making sure any disputes between yourself and the SUPPLIERS are resolved.
PAYMENTS: All payments must be made via bank transfers into the account listed on the proforma invoice emailed to you upon requesting to place your order.

5. RETURNS, REFUNDS & EXCHANGES

As we are hired by yourself to purchase the products on your behalf, all delivery lead times depend on our suppliers dispatching times.

Delivery charges and lead times will vary depending on the size and nature of each item and if you are ordering several products from different brands.

Once you have hired us to place your order, our team can assist you with canceling any items and will organise any returns or exchanges on your behalf, should our suppliers agree to return or exchange your products.

Some suppliers may not accept returns or refund delivery charges or cover any return courier fees.

By hiring us to purchase your products, you agree not to hold us responsible for any charges incurred to return any items. Should our suppliers refuse to return, credit or exchange any items, you agree that all orders placed with us are final and will not be refunded. If your return request is granted by our supplier, we will credit the funds back to your account.
